Terms of Service

These Terms of Service govern your access to and use of Audeez, including public pages, accounts, messaging, posts, collabs, search and discovery, playlists, highlights, subscription features, payments, and AI features.

These Terms are between you and Audeez, Inc. d/b/a Audeez. By accessing or using Audeez, you agree to these Terms and to our Privacy Policy and Cookies Policy.

1. Acceptance and scope

These Terms apply to your use of Audeez's website, apps, content surfaces, profile tools, business and fan pages, messaging, social interactions, collab marketplace, playlists, highlights, search and discovery features, payment tools, subscription features, and Audeez AI.

If you use Audeez on behalf of a company, label, venue, institution, or other entity, you represent that you have authority to bind that entity. In that case, "you" includes both you and that entity.

2. Eligibility

You must be legally able to enter into these Terms to use Audeez. If you are under the age of majority where you live, you may use Audeez only with any legally required permission or supervision. Paid features, Stripe-connected account features, and other commercial functionality may be limited to users or entities legally eligible to use them.

3. Accounts, verification, and account security

You are responsible for providing accurate information, maintaining the confidentiality of your credentials, and for all activity that occurs through your account or pages. You must not impersonate others or create misleading accounts or pages.

Audeez may require email verification, social-login validation, or additional checks before you can fully use certain features. We may refuse, limit, suspend, or terminate access where verification fails, information is inaccurate, or use appears fraudulent, abusive, unlawful, or harmful.

4. Profiles, pages, and acting as

Audeez may let you operate different profile types, such as artist or professional pages, business or institution pages, and fan pages. You are responsible for selecting the correct identity when posting, messaging, applying to collabs, or taking other actions. You may only act as a person or entity you are authorized to represent.

5. Usernames and handles

Usernames and handles are subject to availability and may not infringe rights, mislead users, or violate our policies. We may reclaim, remove, or require you to change a username for legal, trademark, impersonation, safety, inactivity, or operational reasons.

6. User content, rights, and licenses

You retain ownership of the content you upload or submit to Audeez, subject to the rights you grant in these Terms. By submitting content to Audeez, you grant Audeez a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, format, adapt, display, distribute, and otherwise use that content as needed to operate, improve, promote, secure, and provide the service.

This license allows us, for example, to display your content in feeds, profile pages, search and discovery surfaces, collab listings, repost views, previews, recommendation modules, moderation tooling, support tooling, and other service experiences. The license ends within a commercially reasonable time after the content is deleted from our active systems, except to the extent content has been shared with others, retained in backups, used for legal or safety purposes, or otherwise retained as permitted under our Privacy Policy.

7. Rights clearances and music-specific obligations

You are solely responsible for the content you upload, post, transmit, or make available on Audeez. You represent and warrant that you own or control all rights needed to use that content and to grant the license above, including rights in music, recordings, compositions, stems, beats, artwork, video, photographs, names, likenesses, logos, and any other material you submit.

You must obtain any necessary consents, licenses, permissions, releases, collective management clearances, synchronization rights, mechanical rights, or other authorizations before uploading or distributing content through Audeez.

8. Prohibited conduct

You may not use Audeez to:

  • break the law or violate the rights of others;
  • infringe intellectual property, privacy, publicity, or contractual rights;
  • impersonate a person or entity or misrepresent affiliation or authority;
  • harass, threaten, defraud, exploit, stalk, dox, or abuse others;
  • post spam, malware, phishing links, manipulated engagement, or scam offers;
  • scrape, crawl, reverse engineer, or interfere with the service;
  • circumvent limits, safety controls, payment controls, or moderation decisions;
  • post unlawful, defamatory, hateful, or otherwise harmful content; or
  • use Audeez in a way that creates legal, reputational, or security risk for us or others.

9. Collabs, applications, subscriptions, and payments

Audeez provides a technology platform that enables users to connect, collaborate, and transact. We do not provide creative, production, agency, employment, brokerage, or professional services.

Audeez may allow users to post collaboration opportunities, apply to them, message each other, connect Stripe accounts, subscribe to Audeez Pro, and make or receive certain payments.

No involvement in user agreements. Audeez is not a party to any agreement between users. We do not control, endorse, or guarantee the existence, quality, legality, safety, or performance of any collaboration, service, or transaction. Any agreement, including scope of work, deliverables, timelines, ownership, payment terms, or other obligations, is solely between the participating users.

Use at your own risk. You engage with other users and participate in collaborations entirely at your own risk.

No dispute resolution. Audeez does not mediate or resolve disputes between users. Any disputes, including non-payment, non-delivery, dissatisfaction, or intellectual property disagreements, must be resolved directly between the parties involved.

Intellectual property in collaborations. Audeez does not determine or assign ownership of any intellectual property created through collaborations. Users are solely responsible for agreeing how ownership, licensing, royalties, and usage rights will be allocated.

Payments and fees. Payments and subscription billing are handled in part by Stripe and are subject to Stripe's terms and policies. Audeez may charge platform fees, commissions, or service fees on transactions. These fees will be disclosed within the platform and may change from time to time.

Financial responsibility. You are responsible for your taxes, reporting, invoicing, chargebacks, refunds, disputes, and compliance obligations unless applicable law requires otherwise. Except where required by law, Audeez does not provide refunds for transactions between users or for platform fees once processed.

Fraud and payment risk. We reserve the right to delay, withhold, cancel, or reverse transactions, payouts, or account access where we reasonably suspect fraud, abuse, violations of these Terms, or payment risk. We may suspend or restrict accounts involved in disputes, chargebacks, or suspicious activity.

10. Audeez AI

Audeez AI is provided for convenience and assistance only. It may be wrong, incomplete, offensive, outdated, or unsuitable for your circumstances. You are responsible for reviewing, editing, and validating any AI-generated output before using or sharing it. Audeez AI is not legal, financial, tax, medical, employment, or professional advice.

You must not use Audeez AI or other Audeez features to generate or distribute unlawful content, infringing content, malicious code, spam, or abusive or deceptive material.

11. Third-party services and links

Audeez integrates with and relies on third-party services, including Google, Firebase, Meta/Facebook, Stripe, maps or places providers, hosting and storage providers, and AI providers. We are not responsible for third-party products, services, websites, availability, security, or content. Your use of those services may also be governed by separate terms and privacy notices.

12. Moderation, suspension, and termination

We may investigate conduct, moderate content, limit visibility, remove content, disable features, suspend accounts, terminate accounts, or refuse service if we believe it is necessary for safety, compliance, operational integrity, payment risk, legal reasons, or to enforce these Terms. We may do so with or without notice, subject to applicable law.

14. Disclaimers

Audeez is provided "as is" and "as available" to the fullest extent permitted by law. We do not guarantee uninterrupted service, availability, error-free operation, accuracy, discoverability, monetization, match quality, payment success, compatibility, or that the service or content will meet your needs.

15. Limitation of liability

To the fullest extent permitted by law, Audeez, Inc. and its officers, directors, employees, affiliates, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, reputation, or other intangible losses arising out of or related to the service.

To the fullest extent permitted by law, our aggregate liability for claims arising out of or related to the service will not exceed the greater of the amount you paid to Audeez, if any, in the 12 months before the event giving rise to the claim, or USD $100.

Nothing in these Terms excludes or limits liability where it cannot be excluded under applicable law, including for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited or excluded.

16. Indemnity

You agree to defend, indemnify, and hold harmless Audeez, Inc. and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against claims, liabilities, damages, judgments, awards, losses, costs, and expenses arising out of or related to your content, your use of the service, your transactions with other users, or your violation of these Terms or applicable law.

17. Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles. Subject to applicable law, you and Audeez agree that the state or federal courts located in Travis County, Texas, will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the service.

18. Changes to these Terms

We may update these Terms from time to time. If we make changes, we may post the updated Terms here, update the effective date, and take any additional steps required by law. By continuing to use Audeez after updated Terms become effective, you agree to the updated Terms.

19. Force majeure

Audeez will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including outages, infrastructure failures, cyber incidents, third-party service disruptions, or acts of nature.
